Job Summary:
We are seeking a highly motivated and detail-oriented Corporate Associate to join our dynamic legal team. The ideal candidate will have a strong understanding of corporate law and experience handling a variety of corporate matters including mergers and acquisitions, joint ventures, corporate governance, and compliance. The Corporate Associate will work closely with senior associates and partners, advising clients on various corporate transactions and ensuring legal compliance with applicable laws and regulations.
Key Responsibilities:
- Assist in drafting, reviewing, and negotiating a wide range of corporate documents, including mergers and acquisitions (M&A), joint venture agreements, shareholder agreements, and corporate governance documents.
- Provide legal advice on corporate structuring, business formation, and regulatory compliance.
- Conduct legal due diligence for corporate transactions and identify potential risks and liabilities.
- Advise clients on corporate governance issues, including board resolutions, general meetings, and directors’ duties.
- Assist with company incorporations, restructuring, and winding up processes.
- Liaise with regulators and relevant authorities, including handling filings and regulatory submissions.
- Ensure compliance with local and international corporate regulations and laws.
- Collaborate with internal teams to provide legal support for cross-border transactions.
- Research and stay updated on corporate law changes, and provide proactive advice to clients.
- Draft legal opinions and provide sound legal advice to clients in relation to corporate and commercial matters.
- Attend client meetings and maintain strong client relationships.
Requirements:
- Bachelor’s degree in Law (LLB or equivalent). A Master’s degree or LLM is a plus.
- Admission to a recognized bar association.
- Minimum 2 years of post-qualification experience (PQE) in general corporate advisory, preferably within a Dubai-based law firm or in-house legal department.
- Strong knowledge of corporate laws, regulations, and governance practices.
- Experience in handling M&A transactions, joint ventures, and other corporate deals.
- Excellent legal drafting and negotiation skills.
- Strong research, analytical, and problem-solving abilities.
- Excellent communication and interpersonal skills, with the ability to work effectively in a team and independently.
- Ability to manage multiple projects and meet deadlines.
- Proficiency in legal research tools and Microsoft Office Suite.
- Should be able to join immediately.
